Terms of Use

These Terms govern your access to and use of noisivconsulting.com, operated by KSM Cognitive Works Private Limited doing business as Noisiv Consulting. By accessing the Site you agree to be bound by these Terms. If you do not agree, please discontinue use immediately.

Scope. These Terms govern use of the Site only. They do not govern the delivery of any software, marketing, or design services — those engagements are governed exclusively by your signed Master Service Agreement or Statement of Work. Where these Terms and a Service Agreement conflict on service delivery, the Service Agreement governs.

Eligibility

You must be at least 18 years of age and possess the legal authority and capacity to enter into these Terms — including, where applicable, on behalf of the organisation you represent — to use the Site.

Access to the Site

License

Subject to these Terms, the Company grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Site for your own informational or business evaluation purposes.

Restrictions

You shall not: (a) sell, rent, lease, sublicence, distribute, or otherwise commercially exploit the Site; (b) modify, create derivative works from, decompile, or reverse-engineer any part of the Site; (c) access the Site to build a competing product or service; (d) use any automated system (bots, scrapers, crawlers) to access the Site without our prior written consent; or (e) copy, reproduce, or republish any part of the Site beyond what is necessary for normal browsing, without our prior written permission.

Availability

We may modify, suspend, or discontinue the Site, in whole or part, at any time, with or without notice. We are not liable to you or any third party for any such modification, suspension, or discontinuation.

Intellectual Property

All content on the Site — including text, graphics, logos, case studies, methodology descriptions, and design assets — is owned by the Company or its licensors and is protected under the Copyright Act, 1957, the Trade Marks Act, 1999, and other applicable Indian and international intellectual property laws. These Terms do not transfer any ownership or licence rights beyond the limited access right in Section 2. All rights not expressly granted are reserved.

If you believe content on the Site infringes your intellectual property rights, write to us at the contact details in Section 16 with sufficient detail to identify the work and the material in question; we will review and respond in good faith.

Submissions Through the Site

Any information you submit through contact forms, RFP submissions, or similar Site features (such as your name, company, and project details) is handled in accordance with our Privacy Policy. Please do not submit confidential or proprietary information through general contact forms; use the secure channels agreed under your Service Agreement for that purpose.

The Site uses cookies and similar technologies. Details of what we use, why, and how you can manage your preferences are set out in our Cookie Policy, which forms part of these Terms by reference.

Disclaimers

The Site is provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, the Company disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components.

Nothing on the Site constitutes a guarantee of any specific business, marketing, ranking, or performance outcome. Any illustrative results, case studies, or figures referenced on the Site are historical and not indicative of future results for your specific engagement.

Limitation of Liability

To the maximum extent permitted by applicable law, the Company shall not be liable for any indirect, incidental, consequential, special, or punitive damages, or any loss of profits, revenue, or data, arising out of or relating to your use of the Site, even if advised of the possibility of such damages.

The Site is provided free of charge for browsing and informational purposes. Accordingly, the Company's total monetary liability arising out of or relating to your use of the Site shall be nil, save to the extent such exclusion is not permitted under applicable law.

Some jurisdictions do not permit the exclusion or limitation of certain warranties or liabilities; in such cases, the above limitations apply only to the extent permitted by law.

Indemnification

You agree to indemnify and hold harmless the Company, its officers, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable legal fees) arising from your breach of these Terms or your misuse of the Site.

Term and Termination

We may suspend or restrict your access to the Site at any time, at our discretion, including for suspected violation of these Terms. Sections 3, 7, 8, 9, 11, and 12 survive any termination of your access.

Governing Law and Dispute Resolution

These Terms are governed by the laws of India, without regard to conflict-of-laws principles.

Any dispute arising out of or relating to these Terms shall first be addressed through good-faith negotiation between the parties. If unresolved within thirty (30) days of written notice, the dispute shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, conducted by a sole arbitrator, with the seat and venue at New Delhi, India, in the English language. The arbitral award shall be final and binding on both parties.

Nothing in this section prevents either party from seeking urgent interim or injunctive relief from a court of competent jurisdiction at New Delhi, pending the constitution of the arbitral tribunal.

International Use and Cross-Border Compliance

The Site is operated from India and is accessible globally. Where you access the Site from the United States, United Kingdom, the European Union (including Germany), or Japan, the Company complies with applicable data protection obligations — including the GDPR, UK GDPR, applicable US state privacy laws, and Japan's Act on the Protection of Personal Information (APPI) — as described in our Privacy Policy's cross-border data transfer clause. Jurisdiction-specific documentation (such as a Data Processing Agreement or Standard Contractual Clauses) is available on request as part of your Service Agreement.

We do not represent that the Site or its content is appropriate or lawful in every jurisdiction, and access from jurisdictions where such content is illegal is prohibited.

Changes to These Terms

We may revise these Terms from time to time. Material changes will be indicated by an updated "Effective" date at the top of this page. Continued use of the Site after such changes constitutes your acceptance of the revised Terms.

General Provisions

Entire Agreement
These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and the Company regarding use of the Site.
Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force.
No Waiver
Our failure to enforce any provision of these Terms shall not be deemed a waiver of that provision.
Electronic Communications
By using the Site, you consent to receive communications from us electronically, and agree that such communications satisfy any legal requirement that they be in writing.
Assignment
You may not assign your rights or obligations under these Terms without our prior written consent. The Company may assign these Terms freely in connection with a merger, acquisition, or sale of assets.
